Your profile is free, protected, and matched using automated systems. You remain responsible for your credentials and certifications. FindHarmony.ai is not your employer and does not guarantee offers or interviews. Click "Accept and Go Live" to agree to these terms.

1 Acceptance of Terms

These Professional Terms of Service ("Terms") form a legally binding agreement between you ("Candidate," "you," or "your") and Huddle Up Care, Inc., a Delaware corporation ("Huddle Up," "we," "us," or "our"), the operator of FindHarmony.ai ("FindHarmony.ai" or the "Platform"). These Terms govern your access to and use of the Platform, including any associated websites, applications, and services.

By clicking "Accept and Go Live," creating an account, or accessing the Platform in any way, you represent that you are at least 18 years of age, have read and understood these Terms and our Privacy Policy, and agree to be bound by them. If you are using the Platform on behalf of an organization or as part of your professional credentialing, you represent that you have full authority and qualifications to do so and agree to comply with all applicable professional regulations.

If you do not agree to these Terms in their entirety, you may not create an account or access the Platform. Continued use of the Platform following any update to these Terms constitutes your acceptance of the updated terms.

2 Eligibility and Profile Accuracy

By using FindHarmony.ai, you represent and warrant that:

You are at least 18 years of age and legally authorized to work in the United States.
All profile information you provide including your name, license number, credentials, work history, education, specialization, availability, and work preferences is accurate, current, and complete to the best of your knowledge.
You hold each professional license and certification listed in your profile, each is currently active and valid, and you have disclosed any active disciplinary actions, restrictions, or conditions affecting your license.
You will update your profile promptly if any information changes, including changes to your license status, expiration date, employment status, availability, or any disciplinary actions or restrictions.
You have the right to authorize the use of your profile information for matching purposes as described in these Terms.

Providing false, misleading, or incomplete information is a material breach of these Terms. Any misrepresentation of your qualifications, license status, or professional credentials may result in immediate account termination, notification to relevant licensing authorities where required by law, and potential legal liability.

3 License Verification Consent

As a condition of using FindHarmony.ai, you expressly authorize Huddle Up to verify your professional license and credentials through the following methods:

Direct verification through official state licensing board databases and primary source verification services.
Verification of your license status, expiration date, disciplinary history, restrictions, and any conditions placed on your license.
Re-verification of your license at any time while your profile is active on the Platform, including during renewal periods, upon employer inquiry, or when we deem verification necessary.
Use of third-party verification services and background check providers to confirm your professional credentials.

You understand that verification results are confidential. Employers are only informed of your verification status (Verified, Pending Verification, or Flagged) and never the underlying licensing records. If verification results do not match your profile information, we will notify you immediately and may suspend your profile pending your explanation and correction of the discrepancy. Unresolved discrepancies may result in permanent account termination.

You acknowledge that providing inaccurate license information or failing to update license status changes breaches this agreement and may expose you to professional discipline and legal liability.

4 Profile Use and Anonymity Protections

FindHarmony.ai uses your verified profile data to match you with employers seeking candidates with your qualifications, credentials, geographic availability, and professional preferences.

Anonymity During Matching

The Platform manages profile visibility settings as described in the Platform documentation. During the matching phase, employers typically see anonymized profile information including your clinical discipline, certifications, and setting experience. Profile visibility, anonymization features, and the timing of information disclosure to employers are subject to the Platform's current configuration and may be updated from time to time. You can review your current visibility settings in your account dashboard.

Preference Protection

Your work environment preferences, compensation expectations, role-specific preferences (caseload for candidates, class size and grade band for educators, scope and direct reports for leadership), and geographic restrictions are used by FindHarmony.ai's matching algorithm and Huddle Up Care, Inc. to identify relevant professional opportunities. Your compensation preferences are not shared with employers unless you choose to disclose them or unless required by applicable law.

Professional Opportunity Presentation

By activating your profile, you acknowledge that Huddle Up Care, Inc. may use your profile information to present you with professional opportunities available through FindHarmony.ai or other services operated by Huddle Up Care, Inc.

Controlled Profile Visibility

When your profile is active, it is eligible for matching but is not visible or searchable by employers on the Platform. Only FindHarmony.ai's AI matching system can surface your profile in response to employer job postings. You may pause or deactivate your profile at any time from your dashboard, which immediately removes you from future matching and employer visibility.

Disclosure After Match

Once a match is confirmed by both you and an employer, your full profile including name, contact information, license number, and work history is disclosed to the employer to facilitate interview scheduling and offer discussion. FindHarmony.ai is not responsible for how employers use your information after a match is confirmed.

5 AI-Powered Matching Disclosure

FindHarmony.ai uses automated systems and artificial intelligence to identify and rank potential matches between your profile and employer job postings. You acknowledge and understand that:

How Matching Works

Our matching algorithm analyzes factors including (but not limited to) your clinical discipline, licenses and certifications, years of setting-specific experience, availability and flexibility, geographic location, work environment preferences, compensation expectations, and alignment with employer culture indicators. Matches are scored on a scale reflecting compatibility with specific job postings.

Input Data

The algorithm uses: (1) information you provide in your profile, (2) license verification data from state boards, (3) your interaction history with the Platform (matches you have accepted or declined), and (4) aggregated and anonymized data about successful placements in similar roles to inform matching recommendations.

Lack of Guarantee

Match scores are informational and never guarantee that you will be matched with an employer, receive an interview, or be offered a position. You may not receive any matches during your time on the Platform due to demand, availability, location, or other factors. FindHarmony.ai makes no representations about the accuracy or predictive value of any match score.

Right to Human Review

You may request that a specific matching decision be reviewed by FindHarmony.ai's human team. To request human review, contact support@findharmony.ai with the details of your concern. We will review your request and respond within five (5) business days.

6 Data Privacy and Security

Your use of FindHarmony.ai is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes in detail how we collect, use, disclose, and safeguard your information.

By using the Platform, you acknowledge and agree that:

Huddle Up Care, Inc. may use your information for any lawful business purpose as described in the Privacy Policy, including to operate FindHarmony.ai and to provide, improve, and develop services offered by Huddle Up Care, Inc. and its affiliates
Your information may be shared within Huddle Up Care, Inc. and its subsidiaries, divisions, and affiliates without restriction for any lawful business purpose
Huddle Up Care, Inc. owns all rights to anonymized and aggregated data derived from your use of the Platform
Huddle Up Care, Inc. implements commercially reasonable security measures to protect your information

Legal Disclosure

We may disclose your information if required by law, court order, or a lawful request from a government authority. Where legally permitted, we will notify you in advance of such a disclosure.

Data Retention

Upon account deactivation, your profile becomes invisible to employers. We retain your data in accordance with our Privacy Policy and applicable law. You may request deletion of your data subject to our retention rights by contacting support@findharmony.ai.

7 No Employment Guarantee

FindHarmony.ai is a professional marketplace and matching platform. We are not a staffing agency, employment agency, temporary labor company, or employer.

        FindHarmony.ai does not guarantee that you will be matched with any employer, receive any interview invitations, be made a job offer, or secure employment through the Platform. Match outcomes depend on market demand, geographic availability, your profile completeness and accuracy, license verification status, employer hiring needs, and many other factors beyond FindHarmony.ai's control.
      

Any employment relationship you establish through a match on FindHarmony.ai is a direct relationship between you and the hiring employer. FindHarmony.ai is not a party to any employment contract and is not responsible for the terms, conditions, compensation, duration, or outcome of any employment arrangement you enter into. You remain solely responsible for negotiating your own employment terms and ensuring compliance with all applicable laws and licensing requirements.

FindHarmony.ai provides no employment advice, does not verify employer credentials or reputation, and does not guarantee that any employer on the Platform is legitimate or creditworthy. You should conduct your own due diligence before accepting any offer.

8 Candidate Fees

Fees, if any, for use of the Platform by candidates are as displayed on the Platform at the time of use. Huddle Up Care, Inc. reserves the right to introduce, modify, or waive fees at any time. Any changes to the fee structure will be communicated through your account dashboard or via email.

9 Communications Consent

By creating a FindHarmony.ai account, you consent to receive communications from us via email and SMS to facilitate your use of the Platform.

Email Communications

We will send you emails including match notifications, interview reminders, account security alerts, and administrative messages. You may unsubscribe from non-essential marketing emails at any time using the link in our emails. Transactional emails (security, account, legal) cannot be disabled while your account is active.

SMS Communications and TCPA Compliance

You expressly consent to receive SMS text messages to your verified phone number, including verification codes, match notifications, interview reminders, and critical account alerts. You understand that standard message and data rates from your wireless carrier may apply. Message frequency varies. This consent is not a condition of purchasing our services; you may decline SMS by texting STOP to our short code at any time, and we will honor your opt-out within a reasonable time. For questions about SMS, text HELP. We comply with the Telephone Consumer Protection Act (TCPA) and maintain all required Do Not Call list registrations and consents.

Opt-Out Instructions

To opt out of non-essential emails, use the unsubscribe link in any FindHarmony.ai email. To opt out of SMS, text STOP to the number sending the message. To manage your communication preferences, visit your Account Settings dashboard. Note that opting out of notifications may prevent you from learning about matches or opportunities.

10 Professional Responsibility

As a licensed healthcare professional, you remain solely responsible for maintaining your professional licenses, certifications, continuing education requirements, and compliance with all applicable federal, state, and local laws governing your practice.

FindHarmony.ai does not provide legal advice, clinical guidance, or professional compliance consultation. Nothing in these Terms or our Platform constitutes guidance on the scope of your professional practice, your obligations to employers, or your obligations to patients or clients. You should consult with your state licensing board, professional association, and legal counsel regarding your professional obligations.

You agree to:

Maintain all required licenses and certifications throughout your profile's active status on the Platform.
Promptly disclose any disciplinary actions, license restrictions, conditions, suspensions, or revocations affecting your licensure.
Not misrepresent or overstate your qualifications, experience, or credentials to any employer on the Platform.
Comply with all professional codes of conduct applicable to your discipline.
Comply with all applicable laws and regulations governing your practice, including HIPAA, state practice acts, and employment law.

Violation of professional responsibility commitments may result in account termination and reporting to relevant licensing authorities.

11 Intellectual Property

FindHarmony.ai, including all Platform software, design, matching algorithms, features, brand assets, and content, is owned by Huddle Up Care, Inc. and protected by U.S. and international copyright, trademark, patent, and trade secret law. Nothing in these Terms grants you any ownership interest in or right to the Platform.

You retain full ownership of all content you submit to your profile, including your name, credentials, experience descriptions, work history, and any messages you send to employers. By submitting content to FindHarmony.ai, you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and process your profile information to operate FindHarmony.ai and to provide, improve, and develop services offered by Huddle Up Care, Inc. and its affiliates. This license permits us to display your anonymized profile to employers, generate matches, facilitate communication and scheduling, and present you with professional opportunities through FindHarmony.ai and other services operated by Huddle Up Care, Inc. This license ends when you delete your account.

Anonymized and aggregated data derived from your use of the Platform is the property of Huddle Up Care, Inc. and may be used without restriction for analytics, benchmarking, market intelligence, product development, and any other lawful business purpose.

You may not copy, modify, reverse-engineer, or create derivative works based on the Platform or its algorithms.

12 Acceptable Use Policy

You agree not to use the Platform to:

Post, submit, or communicate false, misleading, fraudulent, or deceptive information of any kind.
Misrepresent your license status, credentials, experience, qualifications, or professional standing.
Harass, threaten, intimidate, abuse, or discriminate against any other user, including employers or FindHarmony.ai staff.
Attempt to access another user's account without authorization or engage in any form of hacking or unauthorized system access.
Scrape, crawl, download, or extract profile data, job postings, or other content from the Platform using automated tools, bots, scripts, or any other automated mechanism.
Reverse-engineer, decompile, or attempt to replicate or circumvent the Platform's matching algorithm, matching logic, or proprietary features.
Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation.
Transmit viruses, malware, worms, ransomware, or any other harmful code or malicious software.
Circumvent, disable, or interfere with any access controls, security features, privacy protections, or identity verification systems on the Platform.
Share your account credentials with any third party or allow any third party to access the Platform using your credentials.

Violations of this Acceptable Use Policy may result in immediate termination of your account without refund or notice, suspension of your profile, forfeiture of any pending matches or offers, and may be reported to relevant licensing authorities and law enforcement authorities where appropriate.

13 Account Termination

You may deactivate your account at any time by accessing your Account Settings or by contacting support@findharmony.ai. Upon deactivation, your profile is immediately removed from matching and employer visibility. You may reactivate your account at any time within one (1) year of deactivation by logging in and clicking "Reactivate." After one (1) year, your account data may be deleted.

FindHarmony.ai may suspend your profile or terminate your account at any time, without notice, for:

Violation of these Terms or our Acceptable Use Policy.
Providing false, misleading, or fraudulent information on your profile.
Failed license verification or license status discrepancies.
Suspicion of fraudulent activity or unauthorized account access.
Harassment or abuse of employers, other users, or FindHarmony.ai staff.
Any conduct that FindHarmony.ai determines, in its reasonable discretion, is harmful to the Platform, other users, or the integrity of the matching process.
Failure to respond to FindHarmony.ai's reasonable requests for information or clarification.
Initiation of legal action against FindHarmony.ai or Huddle Up Care, Inc.

Upon account termination, your right to access and use the Platform ceases immediately. Sections covering Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

If your account is terminated for cause, you may not create a new account on the Platform without FindHarmony.ai's express written consent.

14 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT.

FINDHARMONY.AI DOES NOT WARRANT THAT:

The Platform will be uninterrupted, error-free, secure, or free of harmful components, viruses, or malware.
Any match scores are accurate, predictive, or indicative of job performance or suitability for a specific role.
Any employer is legitimate, creditworthy, safe, non-discriminatory, or acting in good faith.
Any employment opportunity posted by an employer is genuine, accurately described, or will result in an offer.
Any information provided by employers on the Platform is accurate or truthful.
Any features or functionality will meet your expectations or requirements.

You are responsible for conducting your own independent evaluation of any employer, job posting, and employment offer. FindHarmony.ai provides no recommendations or endorsements regarding any employer or opportunity on the Platform.

Some jurisdictions do not allow the disclaimer of certain warranties, so portions of this section may not apply to you.

15 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER FINDHARMONY.AI NOR HUDDLE UP CARE, INC., NOR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING (BUT NOT LIMITED TO) DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST WAGES, LOSS OF EMPLOYMENT OPPORTUNITIES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FINDHARMONY.AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER THEORY, EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO FINDHARMONY.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

This limitation of liability applies even if FindHarmony.ai has been advised of the possibility of such damages and regardless of whether any limited remedy fails of its essential purpose.

Some jurisdictions do not allow the limitation of liability, so this section may not apply to you in its entirety.

16 Indemnification

You agree to indemnify, defend, and hold harmless Huddle Up Care, Inc., FindHarmony.ai, and their respective affiliates, officers, directors, employees, agents, and licensees from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Platform in violation of these Terms or applicable law.
Any false, misleading, or fraudulent information you provide on your profile or to employers.
Misrepresentation of your credentials, licenses, certifications, experience, or professional qualifications.
Your violation of your professional licensing obligations or applicable professional conduct standards.
Any claim by a third party (including a current or former employer) arising out of your use of the Platform or conduct on the Platform.
Infringement or violation of any intellectual property rights, privacy rights, or other rights of a third party resulting from your profile or communication on the Platform.
Your breach of these Terms or our Privacy Policy.
Any employment dispute, wage claim, workers' compensation claim, or similar claim arising from an employment relationship you establish through the Platform.

You will cooperate fully with FindHarmony.ai in the defense of any such claim and will not settle any claim without FindHarmony.ai's prior written consent.

17 Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The parties irrevocably consent to the jurisdiction and venue of the state and federal courts located in Delaware.

Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute with FindHarmony.ai through informal negotiation. To initiate informal resolution, send a detailed written description of your dispute to support@findharmony.ai. FindHarmony.ai will respond within thirty (30) days and will attempt in good faith to resolve the matter. If the parties cannot reach resolution within an additional thirty (30) days, either party may proceed to arbitration.

Binding Arbitration

ANY DISPUTE BETWEEN YOU AND FINDHARMONY.AI THAT CANNOT BE RESOLVED THROUGH INFORMAL NEGOTIATION SHALL BE SUBJECT TO BINDING INDIVIDUAL ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), NOT LITIGATION. THE ARBITRATION SHALL BE CONDUCTED IN ENGLISH IN WILMINGTON, DELAWARE, BEFORE A SINGLE ARBITRATOR. THE ARBITRATOR SHALL APPLY DELAWARE LAW AND MAY AWARD ANY RELIEF THAT WOULD BE AVAILABLE IN COURT.

The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction. FindHarmony.ai will pay the arbitrator's fees and all AAA administrative fees. You will be responsible for your own attorneys' fees unless the arbitrator awards them to you.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR COURT PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. You waive your right to participate in any class action, consolidated action, or collective proceeding against FindHarmony.ai. If a court determines that this waiver is unenforceable, any class or collective action must be brought in a court of law, not arbitration.

Jury Trial Waiver

YOU KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE YOUR RIGHT TO A JURY TRIAL. Any dispute will be decided by an arbitrator or, if arbitration is unavailable, by a judge sitting without a jury.

Equitable Relief

You acknowledge that breach of certain provisions of these Terms (including the Acceptable Use Policy and the Intellectual Property section) would cause irreparable harm for which monetary damages are inadequate. Accordingly, in addition to all other remedies, FindHarmony.ai is entitled to seek equitable relief, including injunctive relief and specific performance, in any court of competent jurisdiction.

18 Severability, Entire Agreement, and Assignment

Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, unenforceable, or in conflict with applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall remain in full force and effect. If the class action waiver or arbitration provision is found unenforceable, the dispute resolution process shall be conducted in a court of law in Delaware, and the remainder of the arbitration clause shall remain in effect.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific Platform features, constitute the entire agreement between you and FindHarmony.ai regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

No Third-Party Beneficiaries

These Terms are solely for the benefit of you and FindHarmony.ai and are not intended to confer any benefit, right, or remedy on any third party.

Assignment

You may not assign these Terms or any of your rights or obligations under them without FindHarmony.ai's prior written consent. FindHarmony.ai may assign these Terms to any successor in interest, affiliate, or acquirer without notice or consent.

Waiver

No waiver of any provision or right under these Terms is effective unless in writing and signed by an authorized representative of FindHarmony.ai. Failure to enforce any right shall not constitute a waiver of that right or any other right.

19 Changes to These Terms

FindHarmony.ai may update these Terms from time to time to reflect changes to the Platform, changes to applicable law, or other operational reasons. We will notify you of material changes by:

Sending email notification to the address associated with your account at least fourteen (14) days before the changes take effect.
Displaying a prominent notice on your account dashboard at least fourteen (14) days before the changes take effect.

Your continued use of the Platform after the fourteen (14) day notice period constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must deactivate your account before the effective date of the changes. Material changes that reduce your rights or increase your obligations will not apply retroactively to matches or employment already in progress.

These terms govern your organization's subscription, job postings, pipeline management, and all hires made through the platform. All offers must be extended through FindHarmony.ai. 1 Acceptance of Terms

These Employer Terms of Service ("Terms") constitute a legally binding agreement between your organization and Huddle Up Care, Inc. ("Huddle Up," "we," "us," or "our"), the operator of FindHarmony.ai ("FindHarmony.ai" or the "Platform"). These Terms are incorporated by reference into any Master Service Agreement, Order Form, service agreement, or other commercial agreement with Huddle Up Care, Inc. relating to FindHarmony.ai. In the event of a conflict between these Terms and a signed commercial agreement, the signed agreement shall control only with respect to the specific conflicting provision; all other provisions of these Terms remain in full force and effect.

By creating an account, accepting a subscription, or designating any employee to use the Platform, your organization represents that it is legally authorized to enter into this agreement and to bind all Authorized Users (defined below) to these Terms. If you do not agree to these Terms, you may not use the Platform.

2 Definitions

Platform: FindHarmony.ai and all associated websites, applications, messaging systems, and services operated by Huddle Up.

Employer: Your organization, a K-12 school district, university, hospital, or physician practice that subscribes to access the Platform's hiring features.

Authorized Users: Individuals designated by your organization to access the Platform on your behalf, including Administrators, Hiring Managers, and Interviewers.

Administrator: An Authorized User with authority to manage account access, designate Hiring Managers and Interviewers, manage billing, and execute agreements on behalf of your organization.

Hiring Manager: An Authorized User with authority to create job postings, review matched candidates, conduct interviews, make hiring decisions, generate and send offer letters, negotiate offers, and countersign offers on behalf of your organization.

Interviewer: An Authorized User with limited access to provide interview feedback and recommendations but without authority to make hiring decisions or extend offers.

Candidate: A credentialed professional registered on the Platform across one of three tracks: clinical (speech-language pathologist, audiologist, occupational therapist, psychologist, licensed clinical social worker, licensed mental health counselor, or certified wellness coach), classroom (classroom teacher, special education teacher, paraprofessional / teacher's aide, instructional specialist, or school counselor), or leadership (principal, assistant principal / vice principal, department head, director, sr. director, vice president, superintendent, or assistant superintendent).

Verified Placement: A placement that has been completed through the FindHarmony.ai offer workflow, countersigned by both parties, and closed in the platform system.

Confidential Information: All candidate information, credentials, feedback, profiles, interview notes, offer terms, and communications accessed through the Platform.

3 Platform Access & Accounts

We grant your organization a non-exclusive, non-transferable license to access and use the Platform during the subscription period, subject to these Terms. Your license is limited to hiring credentialed candidates for employment at your organization across the tracks included in your subscription, and is not transferable to any third party or affiliate.

Role Designations

Your Administrator is responsible for designating which employees may access the Platform and in what capacity (Administrator, Hiring Manager, or Interviewer). You agree to provide only the minimum access necessary for each user to perform their job responsibilities. Access designations may be modified or revoked at any time by your Administrator or by FindHarmony.ai.

Account Security

Your organization is responsible for maintaining the confidentiality of account credentials, ensuring that login information is not shared, and promptly notifying support@findharmony.ai of any unauthorized access or security breach. FindHarmony.ai may suspend access at any time if unauthorized use is suspected.

4 Employer Obligations

Accurate Job Postings

You agree to post job listings that accurately represent the role, compensation, setting, role-specific expectations (caseload for candidates, class size and grade band for educators, scope and direct reports for leadership), employment type, and required credentials. Salary or hourly rate ranges must reflect the actual compensation your organization is prepared to offer. Misleading or inaccurate postings are a material breach of these Terms.

Salary Transparency Compliance

You agree to comply with all applicable federal, state, and local salary transparency laws, including requirements to disclose compensation ranges in job postings. You represent that all compensation information provided on the Platform is accurate, good-faith, and consistent with your compensation practices.

Equal Opportunity Commitment

You agree to conduct all hiring processes in compliance with applicable federal, state, and local employment laws, including equal employment opportunity requirements, disability accommodation obligations, and state-specific employment regulations. FindHarmony.ai prohibits discriminatory hiring practices on the Platform.

Timely Pipeline Management

You agree to manage job postings and candidate pipelines responsibly by:

Pausing or closing postings once positions are filled or hiring is paused
Advancing or declining candidates within 5 business days of interview completion
Processing all offers and hiring decisions through the FindHarmony.ai workflow
Confirming candidate start dates in the platform once offers are countersigned

All Offers Through Platform

All offers of employment to candidates introduced through FindHarmony.ai must be extended, negotiated, and executed through the FindHarmony.ai offer workflow. You agree not to make, imply, or accept employment offers outside of the Platform.

For clarity, the Offer Intent facilitated through the Platform constitutes the "offer" for purposes of this section. Formal employment documentation executed between Employer and Candidate following acceptance of an Offer Intent is not required to be processed through the Platform, provided the Offer Intent was originated and accepted through the FindHarmony.ai workflow.

5 User Roles & Responsibilities

Administrator

Administrators manage account setup, designation of Hiring Managers and Interviewers, billing, and account settings. Administrators are responsible for:

Designating and revoking access for all Authorized Users
Ensuring all designated users agree to be bound by these Terms
Managing compliance with billing and payment obligations
Serving as primary contact for account administration and service issues

Hiring Manager

Hiring Managers have full pipeline authority. You agree that Hiring Managers designated by your organization have the authority to:

Create, edit, and manage job postings
Review matched candidates and accept or decline matches
Schedule interviews and assign Interviewers
Conduct interviews, evaluate candidates, and make hiring decisions
Generate, send, negotiate, and countersign offer letters
Confirm candidate start dates in the platform

Hiring Managers agree to process all hiring decisions and offers through the FindHarmony.ai workflow and to confirm Verified Placements promptly.

Interviewer

Interviewers have limited access and may only:

View assigned candidate match summaries and profiles
Schedule and conduct interviews on assigned candidates
Provide interview feedback, ratings, and hire/pass recommendations
Submit feedback within 48 hours of interview completion

Interviewers may not make hiring decisions, generate offers, or imply employment terms to candidates. All hiring authority rests with your designated Hiring Manager.

6 Non-Circumvention

You agree not to contact, solicit, hire, or otherwise engage any candidate introduced to your organization through FindHarmony.ai outside of the Platform for a period of 12 months from the date of introduction or initial match. This obligation applies to your organization, all affiliated entities, subsidiaries, parent companies, and any other entity under common control with your organization.

Circumvention Fee: If Client circumvents the Platform by hiring, engaging, or contracting with any Candidate introduced through FindHarmony.ai outside of the Platform workflow, the following Circumvention Fee shall apply as liquidated damages and not as a penalty:

(a) If Client has maintained an active subscription continuously between the date of the initial match and the date of hire: the per-hire fee applicable to Client's then-current Order Form or plan. Client must provide a copy of the offer letter or engagement terms to Huddle Up Care, Inc. within five (5) business days of extending an offer to the Candidate.

(b) If Client has not maintained an active subscription continuously between the date of the initial match and the date of hire, or if Client's subscription has lapsed at any point during such period: thirty percent (30%) of the Candidate's first-year annualized compensation (including base salary, on-target bonuses, on-target commissions, and the annualized value of any hourly rate).

The Circumvention Fee shall be due within thirty (30) days of written demand by Huddle Up Care, Inc. For purposes of this section, "first-year annualized compensation" means the total on-target compensation the Candidate is expected to earn in the first twelve (12) months of employment or engagement, including base salary, on-target bonuses, on-target commissions, signing bonuses, and the annualized value of any hourly rate, calculated based on the terms of the employment or engagement between Client and the Candidate.

All hires of candidates introduced through FindHarmony.ai must be completed through the Platform to avoid circumvention charges. This obligation is separate from and independent of your subscription status and survives termination of your subscription agreement for the full 12-month period. Circumvention fees are in addition to any other fees or penalties owed under these Terms.

When Fees Are Earned

Per-hire fees and Circumvention Fees are earned and become due upon the earlier of: (a) acceptance of an Offer Intent through the Platform by the Candidate, or (b) execution of a formal employment offer or engagement agreement between Client and a Candidate introduced through the Platform. Fees are not contingent on the Candidate commencing employment, completing any probationary period, or maintaining employment for any minimum duration. Once earned, all fees are non-refundable.

7 Candidate Confidentiality

All candidate information accessed through FindHarmony.ai is confidential and proprietary to both the candidate and Huddle Up. You agree to:

Use candidate information exclusively for evaluating candidates for employment at your organization
Not share, disclose, or distribute candidate profiles or information to third parties outside your organization
Not use candidate information for any purpose other than evaluating them for the specific role posted on the Platform
Retain candidate information only for the period reasonably necessary for your hiring decision

Anonymized Matching Phase

During the initial matching and review process, candidate profiles are presented in anonymized form. You may not attempt to identify, de-anonymize, or otherwise determine the identity of any candidate during the anonymized matching and review process.

8 Fees & Payment

Your subscription is governed by your service agreement, Order Form, and pricing page at findharmony.ai/pricing. The Platform uses a subscription plus per-hire fee model.

Billing Terms

Annual subscription fees are invoiced upon execution of your service agreement and are due within 30 days (Net-30)
Per-hire fees are assessed at the time of Verified Placement (offer countersignature and confirmation)
All fees are non-refundable except as required by applicable law or as explicitly stated in your service agreement
Taxes, if applicable, are the sole responsibility of your organization

Late Payment

Invoices not paid by the due date will accrue late fees at 1.5% per month (or the maximum rate permitted by applicable law) on the outstanding balance. FindHarmony.ai reserves the right to suspend your platform access until outstanding invoices are paid in full.

Price Changes

Pricing is subject to change. FindHarmony.ai will provide at least 30 days' written notice before any pricing change takes effect. Updated pricing applies at your next renewal term. Your continued use of the Platform following any renewal constitutes acceptance of the then-current pricing as reflected on the Platform or in your Order Form.

9 Term & Renewal

Your initial subscription term is 12 months. At the end of the initial term and each anniversary thereafter, your subscription will automatically renew for an additional 12-month period unless either party provides written notice of non-renewal at least 30 days before the end of the current term.

You may request cancellation of your subscription by contacting your account administrator or support@findharmony.ai with at least 30 days' written notice. Non-circumvention obligations and other surviving provisions remain in effect for the full 12 months regardless of subscription status.

10 Data Privacy & Security

Data Use & Ownership

By using the Platform, you acknowledge and consent to Huddle Up Care, Inc.'s use of your organization's data for any lawful business purpose, including to operate FindHarmony.ai, to provide, improve, and develop services offered by Huddle Up Care, Inc. and its affiliates, and for market intelligence, benchmarking, and product development. Huddle Up Care, Inc. does not sell your personal information as defined under applicable privacy laws.

Internal Sharing Within Huddle Up

Data may be shared freely within Huddle Up Care, Inc. and among its divisions, subsidiaries, and affiliates for any lawful business purpose. Information shared within Huddle Up Care, Inc. is not considered a disclosure to a third party.

Anonymized Data Ownership

Huddle Up Care, Inc. owns all rights to anonymized and aggregated data derived from your use of the Platform, including hiring patterns, compensation data, matching insights, and performance metrics. This data may be used without restriction for benchmarking, market analysis, product development, and publication.

Subprocessor Sharing

FindHarmony.ai shares limited data with the following third-party service providers who assist in platform operations. All subprocessors are contractually required to use data only for the specific purpose for which it was shared and to never retain or use it for any independent purpose.

Current subprocessors:

Airtable, Inc.: primary database at launch.
Railway Corp: backend application hosting and scheduled job execution.
Cloudflare, Inc.: DNS, CDN, frontend asset delivery, and object storage for resumes, signed contracts, offer templates, generated offers, and data exports.
Clerk, Inc.: authentication and user session management.
Postmark (Wildbit, LLC): transactional email delivery.
Twilio Inc.: SMS delivery and one-time password verification.
Daily.co (Daily Co.): embedded video for interview sessions.
Anthropic PBC: AI services provider for the Harmony assistant, resume parsing, and offer template analysis.
Google LLC: geocoding of US ZIP codes to coordinates; Google Analytics 4 (GA4) for aggregate visitor and conversion analytics on FindHarmony.ai. No personal information beyond what GA4 captures via its standard event model is shared with Google.
Functional Software, Inc. dba Sentry: error monitoring and performance tracing. Personally identifying fields including email, phone, last name, ZIP, coordinates, and license numbers are scrubbed from error reports before transmission.

An updated list is maintained on our website. We will provide at least 14 days' written notice before adding any new subprocessor that materially changes the categories of personal information processed.

Security Standards

FindHarmony.ai implements commercially reasonable security measures to protect data in transit and at rest. Access to personal information is limited to personnel who require it to provide platform services. For additional detail, please see our Privacy Policy.

Legal Disclosures

FindHarmony.ai may disclose information if required by law, court order, or a lawful governmental request. Where permitted, FindHarmony.ai will provide advance notice before making such a disclosure.

11 AI & Automated Matching

FindHarmony.ai uses AI-assisted algorithms to match employer job requirements with candidate profiles. Match scores are generated based on factors including licensure discipline, setting experience, availability, credentials, and culture fit indicators.

Transparency & No Guarantee

You understand and agree that:

Match scores are informational and not a guarantee of job performance, candidate quality, or hiring success
FindHarmony.ai does not guarantee that any matched candidate will accept an offer or be suitable for your role
Your organization retains full responsibility for evaluating all candidates independently and making final hiring decisions
Match scores and AI recommendations do not replace your organization's own interview, evaluation, and due diligence processes

Your Hiring Authority

Your designated Hiring Manager retains all hiring authority and decision-making power. FindHarmony.ai's role is to facilitate introductions and provide administrative infrastructure, not to make hiring recommendations or participate in your hiring decisions.

Employer Responsibility for Hiring Decisions

Employer acknowledges that all hiring decisions are made solely by Employer, and Employer assumes full responsibility for compliance with all applicable employment laws including anti-discrimination, equal employment opportunity, and fair hiring practices laws in connection with its use of the Platform and any AI-generated match scores, recommendations, or candidate rankings. Employer agrees to indemnify and hold harmless Huddle Up Care, Inc. from any claims, damages, losses, or liabilities arising from Employer's hiring decisions, including claims of bias, discrimination, disparate impact, or adverse action, whether or not such decisions were informed by Platform data or AI-generated outputs.

12 Intellectual Property

The FindHarmony.ai platform, including its design, software, matching algorithms, brand assets, and documentation, is owned by Huddle Up Care, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Platform or its technology.

Restrictions on Use

You agree not to reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying technology of the Platform. You may not scrape, copy, or reproduce any portion of the Platform or its content for any purpose other than personal, non-commercial use in accordance with these Terms. You may not use automated tools (bots, scrapers, crawlers) to access or extract data from the Platform without prior written consent.

Your Content

You retain ownership of job postings, descriptions, and other content you create and submit to the Platform. By submitting content, you grant FindHarmony.ai a non-exclusive, royalty-free, worldwide license to use that content for the purpose of operating the Platform, matching candidates, and providing services.

Anonymized Data & Benchmarking

Huddle Up retains all rights to anonymized and aggregated data derived from Platform usage, including matching patterns, hiring trends, compensation data, hiring decisions, and performance metrics. This data belongs to Huddle Up without restriction and may be used for benchmarking, market intelligence, product development, competitive analysis, and publication.

13 Assignment

Huddle Up Care, Inc. may assign, transfer, or delegate these Terms, any rights hereunder, or its obligations to any successor, affiliate, or acquirer without notice or consent. Any such assignment is binding on your organization. You may not assign or transfer these Terms or your rights hereunder without Huddle Up Care, Inc.'s prior written consent. Any unauthorized assignment is void.

14 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FINDHARMONY.AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

FINDHARMONY.AI MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING:

The accuracy, completeness, or suitability of any matched candidate profile
The quality, performance, or reliability of any candidate or candidate introduced through the Platform
The accuracy of match scores or AI recommendations
The outcome of any hiring process facilitated through the Platform
Compliance of any candidate with applicable licensure, credentialing, or regulatory requirements

You are solely responsible for conducting independent verification of candidate credentials, performing background checks, verifying licensure status, and evaluating all candidates for suitability and legal compliance.

No Guarantee of Matches or Outcomes

FINDHARMONY.AI DOES NOT GUARANTEE THAT YOUR ORGANIZATION WILL RECEIVE ANY MATCHES, CANDIDATES, OR HIRES THROUGH THE PLATFORM. The availability, quantity, quality, and responsiveness of candidate candidates on the Platform varies and is outside of FindHarmony.ai's control. Your subscription fee provides access to the Platform and its features and does not entitle your organization to any minimum number of matches, candidate introductions, interviews, or placements. No refund, credit, or fee reduction is owed if your organization does not receive matches or does not hire any candidates during a subscription term.

14B Platform Fair Use & Abuse

Good Faith Participation

You agree to use the Platform in good faith for the purpose of evaluating and hiring candidates. Good faith participation includes: timely review of matched candidates, prompt scheduling and completion of interviews, making hiring decisions within a reasonable timeframe, and extending offers to candidates you intend to hire.

Platform Abuse

FindHarmony.ai reserves the right, in its sole discretion, to take any of the following actions if it determines that your organization's use of the Platform is abusive, excessive, or inconsistent with good faith hiring activity:

Limit or throttle access: Restrict the number of candidate matches, interviews, or other Platform features available to your organization
Impose additional fees: Charge additional fees for excessive Platform usage, including but not limited to fees for candidate introductions, interviews conducted, or match reviews that do not result in hires within a reasonable period
Suspend or terminate access: Suspend or terminate your Platform access with written notice

Indicators of Abuse

Without limiting the foregoing, the following patterns may indicate platform abuse: conducting a disproportionate number of interviews relative to hires made; repeatedly advancing candidates through the interview process and declining to extend offers without substantive reason; using the Platform primarily to gather compensation data, market intelligence, or candidate information without genuine intent to hire; or any pattern of usage that, in FindHarmony.ai's reasonable determination, degrades the experience for candidates or other employers on the Platform.

Additional Fees

FindHarmony.ai reserves the right to introduce, modify, or apply additional fees at any time, including fees related to candidate introductions, interview scheduling, enhanced search features, or other Platform functionality. Any such fees will be communicated via the Platform or in writing prior to being assessed. Your continued use of the Platform after notification constitutes acceptance of the updated fee structure.

15 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUDDLE UP CARE, INC., FINDHARMONY.AI, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THESE TERMS, EVEN IF HUDDLE UP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HUDDLE UP CARE, INC.'S OR FINDHARMONY.AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, AND LOSSES ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR YOUR USE THEREOF EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOUR ORGANIZATION TO HUDDLE UP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TEN THOUSAND DOLLARS ($10,000). This cap applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) on which the claim is based.

THE PLATFORM IS PROVIDED "AS IS." THESE LIMITATIONS AND DISCLAIMERS APPLY TO ALL CLAIMS, REGARDLESS OF WHETHER THEY ARISE FROM A BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

16 Indemnification

You agree to indemnify, defend (with counsel acceptable to the indemnitee), and hold harmless Huddle Up Care, Inc., FindHarmony.ai, and their respective officers, directors, employees, agents, and successors from and against all third-party claims, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

Any employment-related claims or disputes arising from your hire of a candidate introduced through FindHarmony.ai, including claims related to compensation, working conditions, termination, discrimination, harassment, retaliation, or employment status
Inaccurate, misleading, or unlawful information in your job postings, including misrepresentation of compensation, role description, work setting, or employment terms
Your breach of applicable federal, state, or local employment laws, equal opportunity requirements, wage and hour laws, or other employment-related regulations
Your breach of these Terms, including violation of non-circumvention, confidentiality, data security, or intellectual property restrictions
Your misuse, unauthorized access, or unauthorized disclosure of candidate information or data obtained through the Platform
Your solicitation of candidates in violation of non-circumvention obligations
Any claim arising from your hiring decisions, employment practices, or treatment of candidates hired through FindHarmony.ai

17 Governing Law & Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles. The U.N. Convention on Contracts for the International Sale of Goods shall not apply.

Informal Resolution

Before pursuing formal arbitration or litigation, you agree to attempt to resolve any dispute informally by contacting support@findharmony.ai with a detailed written description of the dispute, the harm caused, and the relief sought. Huddle Up Care, Inc. will attempt in good faith to resolve the matter within 30 days of receipt.

Binding Arbitration

If informal resolution fails within 30 days, any dispute arising out of or relating to these Terms, your use of the Platform, or the relationship between you and Huddle Up shall be resolved by binding individual arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration shall be conducted in English, on an individual basis (not on a class, consolidated, or collective basis), in Wilmington, Delaware, or such other location as mutually agreed. Each party shall bear its own attorneys' fees and costs unless the arbitrator awards such fees to the prevailing party in accordance with applicable law. The arbitrator may award any relief that would be available in court under applicable law. The arbitration award is final, binding, and may be enforced in any court of competent jurisdiction.

Arbitration Exceptions

Notwithstanding the foregoing, the following matters are excluded from arbitration and may be brought in court: (a) claims seeking injunctive or equitable relief to prevent intellectual property infringement or breach of confidentiality; and (b) claims arising from or relating to non-circumvention obligations.

Class Action & Jury Trial Waiver

You waive any right to: (1) pursue or participate in any class action, collective action, consolidated action, or representative action against Huddle Up Care, Inc. or FindHarmony.ai; (2) have any dispute resolved by a jury; or (3) participate in any proceeding as a representative, member, or participant in any class or representative action. Any proceeding must be brought on an individual basis only.

18 Changes to Terms

Huddle Up Care, Inc. may modify these Terms from time to time at its sole discretion. We will notify your organization's account Administrator by email at least 14 days before any material changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree to proposed changes, you may terminate your subscription by providing written notice to Huddle Up Care, Inc. within 60 days after the changes are announced; otherwise, your continued use constitutes acceptance.
