Parties:
Huddle Up Care, Inc., a Delaware corporation ("Huddle Up" or "Company"), operator of FindHarmony.ai
Organization Name ("Client" or "Employer")
Section 1: Terms of Service Incorporation
Client acknowledges and agrees to the FindHarmony.ai Employer Terms of Service (available at findharmony.ai/employer-terms) (the "TOS"), which are incorporated into and form part of this Agreement. In the event of a direct conflict between a specific provision of this Agreement and the TOS, the provision of this Agreement shall control solely with respect to that specific conflict; all other provisions of the TOS remain in full force and effect.
Section 2: Services
Huddle Up provides Client with access to the FindHarmony.ai platform for AI-powered clinician matching, candidate review, interview scheduling, and offer management. Specific services and access levels are described in the Order Form (Appendix A).
Section 3: Fees & Payment
3.1 Fees. Client shall pay the fees set forth in the Order Form or as displayed on the Platform.
3.2 When Fees Are Earned. Per-hire fees are earned upon the earlier of: (a) Candidate acceptance of an Offer Intent through the Platform, or (b) execution of a formal employment offer between Client and a Candidate introduced through the Platform. Fees are not contingent on the Candidate commencing employment or maintaining employment for any minimum duration. Once earned, all fees are non-refundable.
3.3 Payment Terms. All invoices are payable within thirty (30) days (Net-30). Late payment accrues interest at 1.5% per month and may result in suspension of Platform access.
3.4 Taxes. All fees are exclusive of taxes. Client is responsible for all applicable taxes.
3.5 Price Changes. Updated pricing applies at Client's next renewal term. Continued use of the Platform constitutes acceptance of then-current pricing.
Section 4: Term & Renewal
4.1 Initial Term. This Agreement commences on the Effective Date and continues for the period specified in the Order Form.
4.2 Auto-Renewal. This Agreement automatically renews for successive twelve (12)-month periods unless either party provides written notice of non-renewal at least forty-five (45) days before the end of the then-current term.
4.3 Termination for Cause. Either party may terminate upon thirty (30) days' written notice if the other party materially breaches this Agreement and fails to cure within the notice period.
4.4 Effect of Termination. Upon termination: (a) Client's Platform access is revoked; (b) all outstanding invoices become immediately due; (c) Client must cease use of all Platform data and Confidential Information; (d) Confidentiality, Non-Circumvention, Indemnification, Limitation of Liability, and Governing Law survive in full force.
Section 5: Non-Circumvention
5.1 Client's non-circumvention obligations are set forth in the TOS and incorporated herein by reference.
5.2 The non-circumvention period is twenty-four (24) months. The Circumvention Fee structure is: per-hire fee for continuously active subscribers; 30% of first-year annualized compensation for lapsed subscribers. Applies to all Candidates introduced through the Platform.
5.3 Non-circumvention obligations survive termination for the full 24-month period from each Candidate introduction date.
Section 6: Confidentiality
Each party agrees to maintain in confidence all non-public information received from the other party and to use such information only for purposes related to this Agreement. Confidentiality obligations survive termination for three (3) years.
Section 7: Indemnification
Client shall indemnify, defend, and hold harmless Huddle Up Care, Inc. from any claims, damages, losses, and expenses arising from: (a) Client's use of the Platform; (b) Client's hiring decisions, including claims of bias or discrimination; (c) Client's breach of this Agreement or the TOS; or (d) Client's violation of applicable law.
Section 8: Limitation of Liability
Limitation of liability is as set forth in the TOS and incorporated herein by reference.
Section 9: Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Delaware. Dispute resolution is as set forth in the TOS, including binding arbitration and class action waiver provisions. Prevailing party is entitled to reasonable attorneys' fees.
Section 10: General Provisions
10.1 This Agreement (including the TOS and Order Form) constitutes the entire agreement between the parties.
10.2 Amendments require written consent of both parties, except Huddle Up may update the TOS per its terms.
10.3 Huddle Up may assign this Agreement without consent. Client may not assign without Huddle Up's prior written consent.
10.4 If any provision is held unenforceable, the remaining provisions continue in full effect.
10.5 Failure to enforce any right is not a waiver of that right.
By signing below, Client agrees to this Employer Platform Agreement and the FindHarmony.ai Employer Terms of Service.

- 4Your first invoice has been issued. An invoice for your annual subscription fee has been sent to your billing contact. Payment is due within 30 days (Net-30). Per-hire fees, if applicable to your plan, are invoiced monthly.
- 1Custom quote prepared within 1 business day. Our team reviews your site count, discipline needs, and any notes you provided.
- 2Contract sent for review. Once you approve pricing, a customized service agreement reflecting your exact terms will be sent for signature.
- 3Account activated on signing. Your job postings go live and matching begins immediately after contract execution.
